By accessing this site or engaging Nocta for work, you agree to be bound by the following Terms of Service. These terms govern our design, branding, and development engagements.
1. Service Overview
Nocta provides brand, web design, and development services on two bases: fixed-scope projects, quoted and agreed before work begins, and ongoing partnerships billed monthly. The specific deliverables, timeline, and fee for your engagement are set out in the proposal or statement of work you approve, which takes precedence over these terms where the two differ.
2. Fees and Payment
Project work is quoted as a fixed fee based on an agreed scope. Unless stated otherwise, an initial payment is due before work begins and the balance on delivery.
Partnership engagements are billed monthly in advance and continue until cancelled.
Invoices are payable within the period stated on the invoice.
Work may be paused where an invoice remains unpaid.
3. Scope, Deliverables and Timelines
Most projects run four to eight weeks depending on scope. A firm timeline is agreed at the brief stage.
Timelines assume feedback and materials are provided when scheduled, and may shift where they are not.
Work outside the agreed scope will be quoted separately and only begun once approved in writing.
Files are delivered in standard formats appropriate to the work, such as Figma, Framer, PNG, and SVG.
4. Revisions
Each project includes the number of revision rounds stated in the proposal. Additional rounds, or changes that alter the agreed direction after sign-off, are quoted as additional work.
5. Client Responsibilities
You agree to:
Provide clear briefs, materials, and feedback in a timely manner
Nominate a single point of contact who is able to approve decisions
Ensure all content you supply, including logos, text, imagery, and fonts, is owned by you or licensed for the intended use
Use the deliverables in accordance with applicable laws
6. Intellectual Property
Ownership of the final approved deliverables transfers to you on receipt of full payment.
Working files, unused concepts, and internal tooling remain ours unless otherwise agreed in writing.
Third-party assets such as fonts, imagery, and plugins are licensed to you separately and remain subject to their own terms.
We reserve the right to show the work in our portfolio and marketing materials unless otherwise agreed in writing.
7. Cancellation
You may cancel a partnership with the notice period stated in your agreement. Fees already invoiced for the current period are not refunded.
If a project is cancelled after work has begun, fees are payable for work completed to that point.
8. Limitation of Liability
Nocta is not liable for any indirect or consequential damages arising from the use of the deliverables or this site. Our total liability in connection with an engagement is limited to the fees paid for that engagement. The site is provided “as-is” without warranties of any kind.
9. Changes to Terms
We may update these Terms of Service periodically. Updates will be reflected on this page with a new “Effective Date.”
